Seller Terms & Conditions (Seller Agreement) – AELaptop.com

This Seller Agreement (“Agreement”) is entered into between AELaptop.com (“Platform”, “we”, “us”) and the registered seller (“Seller”, “you”).

By registering as a seller and listing products on AELaptop.com, you agree to be legally bound by these Terms & Conditions.

1. Nature of the Platform

AELaptop.com operates as an online marketplace that facilitates transactions between buyers and independent sellers.

• The Platform is not the owner of goods listed by sellers (unless explicitly stated)

• The Seller is the merchant of record and is fully responsible for all transactions

2. Seller Registration & Verification

To use the platform, Sellers must:

• Provide accurate and complete registration details

• Submit valid identification and/or UAE trade license (if applicable)

• Maintain updated business and contact information

AELaptop.com reserves the right to approve, reject, or suspend any seller account.

3. Seller Obligations

The Seller agrees to:

• Ensure all products are authentic, legally sourced, and compliant with UAE law

• Provide accurate descriptions including condition (new, refurbished, used)

• Fulfill orders in a timely and professional manner

• Provide after-sales support, including warranty and returns

4. Product Listings

The Seller shall:

• Not list prohibited, counterfeit, or illegal items

• Not misrepresent product specifications or condition

• Ensure all content (images, text) does not infringe third-party rights

AELaptop.com may remove or suspend listings that violate these terms.

5. Pricing & Fees

• Sellers determine their own pricing

• All prices must be transparent and compliant with UAE VAT regulations

• AELaptop.com may charge commissions, service fees, or listing fees

The Platform reserves the right to modify fees with prior notice.

6. Orders & Fulfillment

• Sellers must accept and process orders promptly

• Products must be shipped within the agreed handling time

• Sellers are responsible for packaging, logistics, and delivery accuracy

Failure to meet service standards may result in penalties.

7. Returns, Refunds & Disputes

Sellers agree to comply with AELaptop.com’s Return & Refund Policy.

• Valid returns must be accepted within the defined return window

• Sellers must offer replacement or refund for defective or incorrect items

• Sellers must respond to disputes within platform timelines

AELaptop.com reserves the right to intervene and enforce resolutions.

8. Warranty Responsibilities

• Sellers must clearly state warranty terms

• Sellers are responsible for honoring warranty claims

• Warranty practices must comply with UAE Consumer Protection Law

9. Payments & Payouts

• Payments will be processed through the platform

• Sellers will receive payouts after order completion, subject to:

  • Return window clearance

  • Dispute resolution

  • Applicable deductions (fees, refunds, penalties)

AELaptop.com reserves the right to withhold payouts in case of disputes, fraud, or policy violations.

10. Data Protection & Confidentiality

Sellers agree to:

• Use customer data only for order fulfillment

• Not store, share, or misuse personal data

• Comply with UAE Federal Decree-Law No. 45 of 2021 (PDPL)

Unauthorized use of data may result in immediate termination and legal action.

11. Compliance with UAE Law

Sellers must comply with:

• UAE Federal Decree-Law No. 15 of 2020 (Consumer Protection)

• All applicable commercial, tax, and eCommerce laws

Customers have the right to receive products that match descriptions and are free from defects.

12. Prohibited Conduct

The Seller shall not:

• Engage in fraudulent or deceptive practices

• Manipulate reviews or ratings

• Circumvent platform systems or conduct off-platform transactions

• Violate intellectual property rights

13. Performance Standards

Seller performance may be evaluated based on:

• Order fulfillment rate

• Cancellation rate

• Return and dispute handling

• Customer feedback

Failure to maintain acceptable standards may result in penalties or suspension.

14. Platform Rights

AELaptop.com reserves the right to:

• Remove listings or restrict seller activity

• Issue penalties or fines

• Suspend or terminate seller accounts

• Intervene in disputes to protect customers and platform integrity

15. Limitation of Liability

To the maximum extent permitted by law:

• AELaptop.com shall not be liable for indirect, incidental, or consequential damages

• The Seller assumes full responsibility for products, fulfillment, and customer claims

16. Indemnification

The Seller agrees to indemnify and hold harmless AELaptop.com from any claims, damages, or losses arising from:

• Product defects

• Misrepresentation

• Legal violations

• Customer disputes

17. Suspension & Termination

AELaptop.com may suspend or terminate seller accounts:

• For breach of this Agreement

• For fraudulent or unlawful activity

• For repeated poor performance

Upon termination, outstanding obligations (refunds, disputes) must still be fulfilled.

18. Amendments

AELaptop.com may update this Agreement at any time. Continued use of the platform constitutes acceptance of the revised terms.

19. Governing Law & Jurisdiction

This Agreement shall be governed by the laws of the United Arab Emirates.

Any disputes shall be subject to the jurisdiction of UAE courts.

21. Commission & Payout Schedule

Commission Structure

• AELaptop.com shall charge Sellers a commission on each completed transaction.

• Commission rates may vary by product category and will be communicated via the Seller dashboard or separate agreement.

• The Platform reserves the right to modify commission rates with prior notice.

Payout Schedule

• Seller payouts shall be processed on a T+7 or T+14 basis, where:

  • T = Order delivery confirmation date

• Payments will only be released after:

  • Expiry of the return/refund window

  • No active disputes or chargebacks

Deductions

AELaptop.com reserves the right to deduct:

• Platform commissions

• Refunds and chargebacks

• Penalties or fees

• Shipping or service adjustments (if applicable)

Payment Holds

• The Platform may temporarily withhold payouts in cases of:

  • High return rates

  • Suspected fraud

  • Policy violations

  • Ongoing disputes

22. VAT & Invoicing Responsibilities (UAE FTA Compliance)

• Sellers are solely responsible for complying with UAE Federal Tax Authority (FTA) regulations.

• Sellers must:

  • Ensure VAT registration (if applicable)

  • Issue valid tax invoices to customers where required

  • Accurately report and remit VAT

Platform Role

• AELaptop.com may generate system invoices or summaries for operational purposes; however:

  • The Seller remains the supplier of record

  • Tax liability rests with the Seller

Indemnity

• Sellers agree to indemnify AELaptop.com against any tax liabilities, penalties, or fines arising from non-compliance.

23. Dispute Resolution & Arbitration

Internal Resolution

• Parties agree to first attempt to resolve disputes through AELaptop.com support within 14 business days.

Arbitration

If unresolved:

• Disputes shall be referred to arbitration under:

  • DIFC-LCIA Arbitration Centre OR

  • Abu Dhabi Global Market (ADGM) Arbitration Centre

Terms:

• Arbitration shall be conducted in English

• The seat of arbitration shall be Dubai (DIFC) or Abu Dhabi (ADGM)

• The decision of the arbitrator shall be final and binding

24. Limitation of Liability (Strict Cap)

To the maximum extent permitted by UAE law:

• AELaptop.com’s total liability to any Seller shall not exceed:

  • The total commissions earned by AELaptop.com from that Seller in the preceding 3 months, OR

  • AED 5,000 (whichever is lower)

Exclusions

AELaptop.com shall not be liable for:

• Loss of profits, revenue, or business opportunities

• Indirect, incidental, or consequential damages

• Seller operational losses or third-party claims

25. Platform Indemnity Protection

The Seller agrees to fully indemnify, defend, and hold harmless AELaptop.com from any claims arising out of:

• Product defects or safety issues

• Misrepresentation or misleading listings

• Intellectual property violations

• Breach of UAE laws or regulations

• Customer disputes or complaints

This obligation survives termination of the Agreement.

26. Risk & Fraud Management

AELaptop.com reserves the right to:

• Monitor transactions for fraud or abuse

• Delay or cancel suspicious transactions

• Suspend payouts pending investigation

Sellers must cooperate with any investigation and provide requested documentation.

27. Chargebacks & Payment Disputes

• Sellers are responsible for all chargebacks related to their transactions

• AELaptop.com may recover chargeback amounts from:

  • Seller balance

  • Future payouts

Administrative fees may apply for handling disputes.

28. Survival Clause

The following clauses shall survive termination:

• Liability limitations

• Indemnification

• Dispute resolution

• Payment obligations
